Terms of Service

These Terms of Service ("Terms") form a binding agreement between you and Vyronex ("Vyronex", "we", "us", or "our") and govern your access to and use of the Vyronex website, dashboard, APIs, and related services (collectively, the "Service"). By creating an account or using the Service, you agree to these Terms.

1. Eligibility & Accounts

You must be at least 16 years old and able to enter a binding contract. You are responsible for the accuracy of registration information, safeguarding your credentials, and all activity under your account.

2. The Service

Vyronex lets you upload audio files (including WAV) and generate organized audio resource packs using automated processing and AI-assisted metadata. Features, limits, and available integrations may change as the Service evolves.

3. Your Content

You retain all rights to the audio and other content you upload ("Your Content"). You grant Vyronex a limited, worldwide, royalty-free license to host, process, analyze, transcode, and deliver Your Content solely to operate and improve the Service for you. You represent that you have all rights necessary to upload Your Content and that it does not infringe any third-party rights.

4. Acceptable Use

You agree not to misuse the Service. Prohibited activities are described in our Acceptable Use Policy, which is incorporated into these Terms.

5. Subscriptions & Billing

• Paid plans renew automatically each billing cycle until canceled.
• Fees are billed in advance and are non-refundable except as described in our Refund Policy.
• You authorize us and our payment processor to charge your payment method for all fees, applicable taxes, and any usage-based charges.
• We may change pricing with at least 30 days' notice; changes apply to the next renewal.

6. Cancellation & Termination

You may cancel your subscription at any time from the Billing page; access continues until the end of the paid period. We may suspend or terminate accounts that violate these Terms or that we reasonably believe pose a security, legal, or operational risk.

7. Intellectual Property

The Service, including its software, design, and trademarks, is owned by Vyronex or its licensors and is protected by applicable law. Except for the rights expressly granted, no license is transferred to you.

8. Third-Party Services

The Service may integrate with third-party providers (for example, authentication, storage, AI inference, and payment processors). Your use of those services is subject to their terms.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or that AI-generated metadata will always be accurate.

10. Limitation of Liability

To the maximum extent permitted by law, Vyronex will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill. Our aggregate liability for any claim relating to the Service will not exceed the greater of (a) the amount you paid to Vyronex in the 12 months preceding the claim or (b) USD 100.

11. Indemnification

You agree to defend and indemnify Vyronex from any claim arising out of Your Content, your use of the Service, or your breach of these Terms.

12. Changes to the Terms

We may update these Terms from time to time. Material changes will be announced via the Service or by email. Your continued use after the effective date constitutes acceptance.

13. Governing Law

These Terms are governed by the laws of the jurisdiction in which Vyronex is established, without regard to conflict-of-law rules.
